This Copyright License Agreement ("Agreement") is made and entered into by and between the artist/photographer ("Licensor") and Dailycine ("Licensee"). By giving permission for the Licensee to use the photographs ("Photos"), the Licensor agrees to be bound by the terms and conditions of this Agreement.

Grant of License

Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a perpetual, exclusive, worldwide license to use the Photos for the purpose of previewing the looks that Dailycine's presets give and advertising Dailycine's products. The Licensor agrees that the Licensee may use the Photos for any and all advertising and promotional purposes, including but not limited to social media, online advertising, print advertising, and product packaging.

Credit

The Licensee will give the Licensor credit in a designated section of Dailycine's website once the Photos are used by the Licensee. This credit may not be prominently displayed and does not need to be visible to the general public.

Representations and Warranties

The Licensor represents and warrants that they have the right to grant this license to the Licensee and that the use of the Photos by the Licensee will not infringe the rights of any third party. The Licensor agrees to indemnify and hold the Licensee harmless from any claims, damages, or expenses arising out of the use of the Photos by the Licensee. The Licensor releases the Licensee from any claims arising out of the use of the Photos.

Confidentiality

The Licensor agrees to keep the terms of this Agreement confidential and not to disclose them to any third party without the prior written consent of the Licensee.

Non-Compete

The Licensor agrees not to enter into any agreements with any third parties that may compete with the Licensee or its products during the term of this Agreement.

Enforcement

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect. This Agreement may not be amended or modified except in writing signed by both the Licensor and the Licensee. This Agreement may be assigned by the Licensee to any affiliate or successor company without the consent of the Licensor. This Agreement will continue to apply even if the Licensor terminates their relationship with the Licensee.

Amendment

This Agreement may not be amended or modified except in writing signed by both the Licensor and the Licensee.

Assignment

This Agreement may be assigned by the Licensee to any affiliate or successor company without the consent of the Licensor.

Survival

This Agreement will continue to apply even if the Licensor terminates their relationship with the Licensee.

Entire Agreement

This Agreement constitutes the entire agreement between the Licensor and the Licensee and supersedes any prior agreements or understandings, whether written or oral.

Governing Law

This Agreement is governed by the laws of the Republic of

Singapore, and any disputes arising out of or in connection with this Agreement will be resolved in the Supreme Court of Singapore.
